Terms and Conditions of Service

1. Identification and Acceptance

These Terms govern access to and use of Kontafico, available at kontafico.com, as a SaaS platform for electronic invoicing and automated accounting in Costa Rica.

By registering or using the platform, you accept these Terms as a legally binding agreement under applicable Costa Rican law. If you act on behalf of a legal entity, you represent that you have authority to bind it.

This is an adhesion contract interpreted under the legal framework of the Republic of Costa Rica, including Laws 7472, 8454, and 8968.

2. Description of the Service

Depending on the selected plan, Kontafico provides electronic invoicing v4.4, automatic accounting entries, encrypted .p12 certificate storage, bank reconciliation, and draft tax filings.

The Point of Sale (POS) module allows issuing electronic receipts (type 04) and electronic invoices (type 01) directly from the sales screen, managing cash shifts, printing thermal receipts, and operating in offline mode with automatic synchronization.

The platform is a technology support tool and does not replace professional accounting, tax, or legal advice.

3. Registration, Account, and Permitted Use

To use the service you must be at least 18 years old or an authorized representative of a duly incorporated entity.

You are responsible for keeping your credentials confidential and for all activity occurring under your account.

  • Provide truthful and up-to-date information
  • Do not share credentials
  • Report unauthorized use within 24 hours
  • Do not create accounts to bypass plan limits

4. Plans, Pricing, VAT, and Billing

Services are offered on monthly or annual subscriptions. Prices are stated in USD, exclusive of taxes, and applicable VAT is added to the charge.

We may update prices with 30 calendar days’ prior notice. Payments are processed by Stripe, and we do not store full card details.

5. Trial Period and Cancellation

We offer a 15-day free trial without requiring a payment method. At the end of the trial, the service is suspended until a paid plan is selected.

Cancellation takes effect at the end of the current billing period. You may export your operational data for 30 days after cancellation.

6. Acceptable Use and Prohibitions

You agree to use Kontafico only for lawful purposes and in compliance with Costa Rican tax regulations.

Fraud, tax evasion, unauthorized access, reverse engineering, and attacks against the service are strictly prohibited.

7. Service Availability

We use commercially reasonable efforts to keep the service available, but we do not guarantee uninterrupted service or any minimum uptime percentage.

We are not liable for interruptions caused by maintenance, force majeure, infrastructure providers, or unavailability of government systems.

8. Disclaimer of Warranties

The platform is provided “as is” and “as available,” without express or implied warranties.

We do not guarantee that automated entries, tax drafts, or bank reconciliations will be accurate in every case or suitable for every special tax regime.

9. Intellectual Property

All rights in the software, design, brand, texts, and documentation belong to Kontafico or its licensors.

You retain rights to your data and documents, and grant us a limited license to process them only to provide the service.

10. Limitation of Liability

To the fullest extent permitted by law, Kontafico is not liable for tax penalties, errors caused by incorrect user-provided data, force majeure losses, indirect damages, or lost profits.

Kontafico’s aggregate liability will not exceed the amount actually paid by you during the three calendar months preceding the event giving rise to the claim.

11. User Indemnification

You agree to defend, indemnify, and hold Kontafico harmless from claims arising from misuse of the platform, tax fraud, unlawful processing of third-party data, or breach of these Terms.

12. Suspension and Termination

We may suspend or terminate access for non-payment, material breach, unlawful use, legal orders, or security risks.

Except in serious cases, we will try to provide reasonable prior notice. No refund applies where termination is attributable to the user.

13. Changes to the Service and These Terms

We may change service features and these Terms with reasonable prior email notice.

Continued use of the service after the effective date of changes constitutes acceptance of the updated version.

14. Force Majeure

Neither party is liable for failures caused by events beyond reasonable control, including natural disasters, infrastructure outages, or government system failures.

If such an event continues for more than 30 calendar days, either party may terminate the agreement without penalty.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Costa Rica.

Disputes should first be addressed through amicable resolution and, if unresolved, submitted to the competent courts of San José, Costa Rica.

16. Severability and Entire Agreement

If any clause is found invalid or unenforceable, the remaining provisions remain in effect.

These Terms, together with the Privacy Policy and any applicable service order, constitute the entire agreement between the parties.
